General Terms and Conditions -SolarEdge Residential AdvantEdge Program

Definitions.

• "Program" – this Residential AdvantEdge
• "Term" – the term of this Program shall commence on January 1, 2023, and shall continue in effect for three (3) years until December 31, 2026.
• "Products" – SolarEdge Home Hub inverter, SolarEdge Smart panels and SolarEdge Home battery - all installed at one Site.
• "Monitored Downtime" – daily downtime of installed and monitored Products at the Site, as determined by the SolarEdge Monitoring Portal.
• "Site" – an enrolled and approved site
• "System Owner" – the residential homeowner who owns the Products.
• "SolarEdge Monitoring Portal" – SolarEdge's online monitoring platform.
• "Gift Card Compensation" – the Gift Card Compensation that will be delivered by SolarEdge to your customer directly in order to compensate the System Owner for Monitored Downtime experienced by the System Owner, directly caused by faulty Products during the Term.[1]

2. General Description of the Program.

For each Site you install during 2023 which includes the Products[2], the following benefits shall apply: (i) three (3) years part replacement on-site by SolarEdge authorised representative; and (ii) Homeowner Gift Card Compensation for Monitored Downtime if SolarEdge authorised representative has not rectified the technical issue causing the downtime within the parameters below

The Site's Monitored Downtime will be calculated by SolarEdge on a monthly basis with the time period calculation commencing upon alert notification within the SolarEdge Monitoring Portal, SolarEdge will use the data to determine eligibility of the Gift Card Compensation in accordance with the above table.

For the avoidance of doubt, you acknowledge and declare that: (i) the Gift Card Compensation will be the sole compensation as part of this Program; (ii) Gift Card Compensation is subject to the above calculation which will be final and at SolarEdge's sole discretion.

3. Site Eligibility. Only Sites that meet the following criterion are eligible for enrollment under this Program: (i) All three (3) products are installed at the Site, and at least one of them was installed by you during the year 2023 and (ii) The site is properly connected to the Monitoring Portal for more than thirty continuous (30) days without product failure or RMA; and (iii) the Site is located within 100km radius of the General Post office from Brisbane, Gold Coast, Newcastle, Sydney, Melbourne, Canberra, Adelaide, and Perth and (iv) all Products were installed by a certified SolarEdge installer. (v) Products were Registered to the Program on the designated SolarEdge Residential AdvantEdge enrolment webpage and the applicable details were entered; and (vi) The Site is continuously connected via the internet to the Monitoring Portal with the correct configuration of the physical and logical product layout

4. Exclusions.

In addition to any other limitations set forth herein, you and/or the System Owner will not be eligible for enrollment into the program to receive Gift Card Compensation in any of the following cases: (i) downtime resulting from system design or other unrelated failure to the Products; or (ii) downtime while the Site is not communicating with the Monitoring Platform due to external reasons; or (iii) Product failure that is not covered under the Limited Product Warranty; or (iv) downtime that is triggered by a System Owner initiated shutdown; or (v) downtime caused by SolarEdge initiated shutdown for routine maintenance; or (vi) downtime resulting from grid failure or grid connection issues; or (vii) downtime resulting from governmental or court order mandated shutdowns;. Act of god. Product substitutions; Modifications made to system without approval.

5. Term and Termination.

SolarEdge may terminate this Program with immediate effect in any of the following events: (a) unremedied breach of the terms and conditions; or (b) where any bankruptcy, insolvency, liquidation, reorganization or similar proceedings are commenced with respect to your company; or (c) any case of assignment for the benefit of, or an arrangement with creditors or if similar person is appointed in respect of all or any part of your assets; or (d) at the conclusion of the Term. Without derogating from the above, SolarEdge may choose to terminate this Program, for any reason, by providing a prior written notice of 60 days. Upon termination of this Program for any of the events indicated above, SolarEdge will be released from any further obligations to you as part of this Program.

6. 6. Compensation and Limitation of Liability .

Upon confirmation of the eligible Monitored Downtime, SolarEdge will provide your customer with the Gift Card Compensation within 60 days

For any single continuous event of Monitored Downtime, the Gift Card Compensation will be provided for up to the first six (6) weeks.

8. Miscellaneous.

8.1. Amendment and Waiver. No amendment, supplement, consent or waiver, express or implied, to or of any provision of this Program will be effective unless in writing signed by the parties hereto and then only in the specific instance and for the specific purpose given.

8.2 Assignment. you may not assign or transfer this agreement or any of its rights or obligations hereunder without SolarEdge’s prior written consent, which consent may be withheld at SolarEdge’s sole discretion.

8.3 Confidentiality. The terms set forth herein are specific to your company and shall be held in strict confidence.

8.5 Governing Law. This agreement will be governed by and construed in accordance with the laws of Victoria, Australia.
